Terms of Service

These Terms of Service govern your access to and use of Runbase, including our website, dashboard, API, AI tools, usage history, credit balance, billing, and related services. Runbase is operated by TokenMade LLC, a limited liability company registered in the United States. By creating an account, buying credits, generating content, or calling our API, you agree to these Terms.

You must be at least 13 years old to use Runbase. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

If you use Runbase on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

Our service

Runbase provides AI tools and API access that let users create, process, and manage AI-generated content through one account, balance, API key, and dashboard. We work with AI service providers, infrastructure providers, payment processors, storage providers, analytics providers, and other suppliers needed to operate Runbase.

Some AI features rely on third-party services. We do not control every AI model, safety system, availability decision, or technical limit used by those services. Feature availability, model behavior, output quality, rate limits, safety filters, pricing, speed, geographic availability, and supplier policies may change at any time.

Accounts and API keys

You must provide accurate account information and keep your login methods and API keys secure. You are responsible for all activity under your account and API keys, including activity by employees, contractors, agents, applications, or anyone else who obtains access through you.

You must notify us promptly if you believe your account or API key has been compromised. We may rotate, suspend, revoke, or limit API keys where needed to protect the service, users, service providers, or third parties.

Credits, usage, and pricing

Runbase may charge for usage through prepaid credits, usage-based pricing, subscriptions, invoices, or other payment methods shown in the product. Unless we state otherwise, credits are a usage balance for Runbase services and are not cash, stored value, or a financial product.

Pricing is based on factors that may include the selected AI feature or model, input size, output size, media resolution, processing time, supplier costs, infrastructure costs, foreign exchange rates, taxes, payment processing costs, risk controls, and commercial availability. Because these inputs can change, prices, credit costs, feature availability, included features, and billing rules may change from time to time.

We will display the applicable price or credit cost where practical before you submit a request. Price changes apply to future purchases or future usage and do not entitle you to a refund for completed usage. If a displayed price is clearly incorrect due to a technical error, we may cancel, correct, or re-rate the affected transaction to the extent permitted by law.

You are responsible for reviewing current pricing before making requests. You should not rely on historical pricing, cached pricing, examples, screenshots, or third-party descriptions as a guarantee of future prices.

Referral Program

Runbase may offer a referral program that lets eligible users invite new users and receive promotional credit rewards when stated conditions are met. Referral rewards are usage credits for Runbase services. They are not cash, stored value, a deposit account, a gift card, or a financial product, and they cannot be transferred, redeemed for cash, or withdrawn unless we expressly say otherwise.

Referral rewards, eligibility rules, attribution windows, referral limits, and qualifying actions may be shown in the product and may change from time to time. Unless we state otherwise, changes apply only to future referral activity and do not affect rewards already credited, except where abuse, fraud, error, chargeback, refund, or other invalid activity is involved.

To qualify for referral rewards, the referred user must be a new Runbase user, must use a valid referral link or referral code within the attribution window shown in the product, and must complete the qualifying action shown in the product, such as account creation or a first purchase. Each user may be referred only once. You may not refer yourself, create or control duplicate accounts, use fake identities, automate signups, buy or sell referral activity, spam referral links, mislead users, or use the referral program in a way that violates these Terms or applicable law.

We may review referral activity for abuse, fraud, duplicate accounts, self-referrals, payment abuse, chargebacks, refunds, spam, suspicious patterns, or technical errors. We may delay, withhold, cancel, reverse, expire, or adjust referral rewards, limit referral participation, or suspend accounts where we reasonably believe referral activity is invalid, abusive, fraudulent, unlawful, or inconsistent with these Terms.

If you share a referral link publicly, promote Runbase, or make statements about Runbase while you may receive rewards, you are responsible for clearly disclosing that you may receive referral rewards or other benefits. Your statements must be honest, not misleading, and based on your genuine experience where applicable.

You are responsible for any taxes, reporting obligations, platform rules, employment policies, or other obligations that may apply to rewards or referral activity. We may modify, suspend, or end the referral program at any time.

Payments and refunds

Payments are processed by third-party payment providers. You authorize us and our payment providers to charge the payment method you provide for purchases, taxes, and applicable fees.

Except where required by law or expressly stated in the product, purchases are final, credits are non-refundable, and consumed credits cannot be restored. We may, at our discretion, issue refunds, credits, or courtesy adjustments for failed requests, duplicate charges, clear billing errors, or service incidents.

If a request fails before meaningful processing begins, we may automatically reverse or avoid the charge. If a request has already used AI or infrastructure resources, it may still be charged even if the service returns an error, produces an undesired result, or the output does not meet your expectations.

Where we issue a refund or credit for a reason not caused by a Runbase error, we may deduct a processing fee to cover payment processor charges and administrative costs. The applicable fee will be disclosed before or at the time the refund is processed.

User content and outputs

"User Content" means prompts, inputs, files, images, API request bodies, configuration, metadata, and other content you submit to Runbase. "Outputs" means model responses, generated files, images, text, metadata, and other content returned through the service.

As between you and Runbase, you retain any rights you have in your User Content. Subject to your compliance with these Terms and the applicable third-party service terms, Runbase does not claim ownership of your Outputs.

You grant Runbase a limited license to host, transmit, process, display, store, log, copy, and otherwise use User Content and Outputs as needed to provide, secure, troubleshoot, bill for, improve, and support the service. This includes using third-party AI services and other suppliers to process your requests.

You are responsible for your User Content, your use of Outputs, and any decisions or actions based on Outputs. Outputs may be inaccurate, incomplete, offensive, unsafe, infringing, or unsuitable for your intended purpose. You must evaluate Outputs before relying on them.

Third-party services

Your use of Runbase may be subject to the terms, acceptable use policies, data policies, safety rules, and technical limits of third-party AI services and other suppliers. You agree not to use Runbase to bypass those policies.

We may add, remove, replace, limit, suspend, or restrict AI services, models, regions, API methods, or features at any time. We are not responsible for third-party service outages, errors, latency, policy changes, data handling practices, output quality, or pricing changes.

If a third-party service provider determines that your usage violates its terms or policies — including content safety rules — we may suspend, restrict, or terminate your access to the affected service or to your account without prior notice. We are not required to review or override such determinations.

You may not use Runbase to:

We may investigate suspected violations and may block requests, remove content, limit rate, suspend accounts, revoke credits, or terminate access where we reasonably believe it is necessary to protect Runbase, users, service providers, or third parties.

Logs and monitoring

Runbase may record usage metadata, request and response bodies, error details, supplier reference IDs, API key names, timing, status, cost, and other operational data for billing, user-visible logs, debugging, security, abuse prevention, compliance, and support.

Uploaded files, generated outputs, and usage logs are retained for 14 calendar days from the date of creation, after which they may be permanently deleted without notice. You are responsible for downloading or backing up any content you wish to keep before the retention period expires.

You are responsible for avoiding submission of sensitive personal data, secrets, credentials, regulated health information, payment card data, or confidential information unless your use case is permitted by law and by all applicable service terms, and you have appropriate rights and safeguards in place.

Service availability

We aim to provide a reliable service, but Runbase is provided on an "as is" and "as available" basis. We do not guarantee that the service will be uninterrupted, error-free, secure, compatible with all applications, or available in every region.

We may modify, suspend, or discontinue any part of the service at any time, including models, API methods, dashboard features, logs, pricing, credit packs, API behavior, rate limits, and integrations.

Beta and experimental features

Some features, models, API methods, or service integrations may be labeled beta, experimental, preview, or otherwise made available before general release. These features may be unstable, change without notice, have limited support, or produce unexpected results.

Intellectual property

Runbase and its software, design, branding, documentation, website, interfaces, and infrastructure are owned by Runbase or our licensors and are protected by intellectual property laws. These Terms do not grant you ownership of Runbase or any license except the limited right to use the service as permitted by these Terms.

You may provide feedback, suggestions, or ideas. We may use feedback without restriction or compensation to you.

Termination

You may stop using Runbase at any time. We may suspend or terminate your account, API access, credits, or any part of the service if you breach these Terms, create risk, fail to pay amounts due, cause legal exposure, abuse the service, or if we discontinue the service.

After termination, provisions that by their nature should survive will continue to apply, including payment obligations, disclaimers, limitations of liability, indemnity, and dispute provisions.

Disclaimers

To the fullest extent permitted by law, Runbase disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, and reliability.

We do not warrant that any model, service provider, price, output, or feature will continue to be available or will meet your requirements.

Limitation of liability

To the fullest extent permitted by law, Runbase will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, credits, business opportunities, or business interruption.

To the fullest extent permitted by law, Runbase's total liability for any claim relating to the service or these Terms will not exceed the greater of USD 100 or the amount you paid to Runbase for the service giving rise to the claim during the three months before the event giving rise to liability.

Indemnity

You will defend, indemnify, and hold harmless Runbase and our owners, employees, contractors, service providers, and affiliates from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your User Content, your use of the service, your breach of these Terms, or your violation of law or third-party rights.

Changes to these Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you, such as by updating the date above, posting a notice, emailing you, or showing an in-product notice. Changes apply when posted unless a later effective date is stated.

Your continued use of Runbase after changes take effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts.
